Please read these Official Rules before entering The Passed Down Recipes Contest ("Contest"). By submitting a recipe and blog post (“Entry”), you acknowledge that you have read and agree to be bound by these Official Rules and the decisions of Foodista, Inc., ("Sponsor") and the judges, and that you satisfy all eligibility requirements. 


The Winner will receive a suite of Moleskine journal products, including their new Recipe journal from their Passions line. Additional prizes may be awarded at the sole discretion of the Sponsor.

ELIGIBILITY : Open to all registered users of Foodista.com who are adults over the age of 18 at the time of Entry. Void where prohibited by law. No purchase is necessary. Entries that violate the Foodista.com Terms of Use ( http://www.foodista.com/static/legal ) or these Official Contest Rules may be disqualified and removed from the website.

Not open to employees or independent contractors, or immediate family members or those living in the same household of employees or independent contractors of the Sponsor or any of their respective parents, subsidiaries, affiliates, advisors, or advertising/promotion agencies.

HOW TO ENTER : Entries must be made via the Foodista.com website ( http://www.foodista.com/moleskine/enter ) and will be accepted from March 10, 2010 through March 31, 2010 . Winner will be announced Monday, April 12, 2010.

ENTRY REQUIREMENTS : All Entries must (a) be in the English language; (b) be tested for accuracy, functionality, and safety; (c) not violate or infringe any copyright, trademark, privacy or publicity right, or other proprietary or intellectual property right of any person or entity; (d) not be defamatory, libelous, obscene, or otherwise illegal; (e) not currently or previously have been the subject of a publishing or syndication agreement with any publishing house or syndicator.

All Entries must be submitted digitally via the Foodista.com website. The Sponsor is not responsible for lost, misdirected, late, incomplete, illegible, garbled, delayed, or unintelligible Entries or for inaccurate entry information, whether caused by entrant or by any of the equipment or programming associated with or utilized in the Contest, or by any technical or human error that may occur in the processing of entries; or any printing, production, human, or typographical or other errors in any materials associated with the Contest.


Each entrant is permitted unlimited Entries, however duplicate or substantially identical Entries may be removed from the Contest and website. The Sponsor reserves the right, in their sole discretion, to disqualify at any time any Entry containing obscene, offensive, pornographic, or sexually explicit material, or libelous, disparaging, or other inappropriate content or that is otherwise not in compliance with these Official Rules as determined by the Sponsor in its sole discretion.

GRANT OF RIGHTS: When you ("Entrant") submit an Entry, including information, text, images, video, files, links, software, or other materials to the Contest, you are granting the Sponsor, a royalty-free, perpetual, irrevocable, fully sub-licensable, non-exclusive right to use, reproduce, modify, translate, adapt, publish, create derivative works therefrom, transmit, distribute, perform, display and delete such content (in whole or in part) worldwide and/or to incorporate such content in other works in any form, media or technology now known or hereafter developed.

Further, you grant the Sponsor the above rights to each blog post or webpage submitted by you as part of an Entry. Each individual blog post or webpage submitted as part of an Entry will be identified by a unique URL.

 

**In layman's term that means you retain all rights to your content and grant us the right to use it.

 

WARRANTY AND INDEMNIFICATION : Each Entrant represents and warrants that his/her Entry complies with all of the Entry requirements specified above including, without limitation, that if published, the Work will not infringe on any proprietary right at common law or any statutory copyright, any right of privacy or publicity, or any other right; and that it contains no matter that is libelous, scandalous, obscene or otherwise unlawful; and that all recipes, formulae or instructions in the Entry have been tested and will not injure the user.


The Entrant shall indemnify and hold harmless the Sponsor, suppliers and licensees from and against any claim, demand, suit, action, proceeding or prosecution, and any judgment, liability, loss, expense, including without limitation the reasonable fees and disbursements of its counsel, damage or recovery in consequence thereof, asserted or instituted against, or suffered by the Sponsor.


JUDGING : All Entries may be rated by any registered user of Foodista.com. Entrants may rate their own Entries, as may their friends and families. Recipes with the highest votes will be taken into consideration, however, the final vote will be made by the Official Contest Judges.


WINNER NOTIFICATION:
The Sponsor will notify the potential Winner by e-mail starting on or about APRIL 12, 2010. The Winner will be required to provide their full name and physical mailing address. Additionally, the Winner may be required to provide written proof of eligibility and/or a signed Liability/Publicity Release. Failure to return any required document within two weeks of any such request will deem a Winner as ineligible to proceed to the next stage of the Contest and he/she will be disqualified.


LIMITATIONS OF LIABILITY
: The Sponsor is not responsible for the unauthorized use of any Entry (or any portion thereof) by any third party. Entrants agree (for themselves and their heirs) that the Sponsor, to the maximum extent permitted by law, are not responsible for any liability, loss, injury, or damage to property or to person, and reasonable attorney's fees and court costs, due in whole or in part, directly or indirectly, by reason of participation in the Contest, or by reason of the acceptance, possession, use or misuse of the prizes (including any travel or activity related thereto).


GOVERNING LAW/DISPUTES
: Contest is governed by the laws of the United States and the State of Washington. As a condition of participating in this Contest, each entrant agrees, to the extent permitted by law, that any and all disputes that cannot be resolved between the parties, and any causes of action arising out of or in connection with this Contest, will be resolved individually, without resort to any form of class action, exclusively before a court located in King County, Washington having jurisdiction. Further, in any such dispute, under no circumstances will entrants be permitted to obtain awards for, and hereby waive all rights to claim, punitive, incidental or consequential damages, including attorneys' fees, other than entrant's actual out-of-pocket expenses (e.g. costs associated with entering), and entrant further waives all rights to have damages multiplied or increased.


RIGHTS OF PUBLICITY
: By participating in the Contest, each entrant consent to the use of their names, biographical information and photographs, videos or likenesses in any manner and in any medium now or hereafter devised for any purpose in connection with the Contest, including worldwide, without additional compensation, notification or permission, except where prohibited by law.


CHANGES AND AMMENDMENTS
: The Sponsor reserves the right to cancel or modify the Contest or amend any rules of the Contest at any time for any reason.
